How to Legalize New Jersey Documents for International Use

An apostillé issued by the New Jersey Department of the Treasury, Division of Revenue and Enterprise Services certifies the authenticity of signatures and seals on New Jersey public documents for use in countries that are members of the 1961 Hague Apostille Convention.

 

Crucial Note for New Jersey: New Jersey does NOT require an intermediate County Clerk authentication for most documents, including notarized ones or vital records, before submission to the state. Documents are generally submitted directly to the Division of Revenue and Enterprise Services in Trenton for the apostillé.

Processing Time: Regular processing is 12 to 20 business days. We provide expedited (same day) processing for extra fee.

 

Corporate Records (Certificate of Incorporation, Articles of Organization, Certificate of Status):

 

  • Requirement: documents like a Certificate of Incorporation or Certificate of Good Standing (Status) must be certified copies issued directly by the New Jersey Department of the Treasury, Division of Revenue and Enterprise Services (Corporate Filings Unit).

  • Procedure: obtain the certified copy of the record from the state, and then submit that certified copy directly to the Division of Revenue and Enterprise Services Apostille Unit.

  • Other corporate documents (minutes, bylaws, resolutions) must be notarized by a New Jersey Notary Public and follow the procedure for Notarized Documents below.

Real Property Deed or Records:

  • Requirement: these documents must be a certified copy obtained from the County Clerk's Office in the county where the property is located and the document was recorded.

  • Procedure: the County Clerk's signature on the certified copy is an eligible public official signature and the document is submitted directly to the Division of Revenue and Enterprise Services for the Apostille.

Vital Records (Birth, Marriage, Death Certificates, Divorce Decrees):

  • Requirement: these documents must be certified copies issued by the New Jersey State Office of Vital Statistics and Registry or a local registrar, provided they bear the signature of the State Registrar or a Deputy.

  • Procedure: the state-issued certified copy is submitted directly to the Division of Revenue and Enterprise Services Apostille Unit. No prior notarization or County Clerk certification is needed as the document is signed by a State official.


Academic and Notarized Documents (Diplomas, Transcripts, Power of Attorney, Affidavits):

 

  • Requirement: The document must be properly notarized by a current, active New Jersey Notary Public.

  • Procedure:

    1. The Notary Public must execute a complete notarial act (a Jurat or Certificate of Acknowledgment). A simple notary stamp alone is not sufficient.

    2. This notarized document is then submitted directly to the Division of Revenue and Enterprise Services Apostille Unit. The County Clerk step is not required.

Divorce judgement

  • Requirement: The document must be a certified copy obtained from the Clerk of the Superior Court.

  • Procedure: The certified copy is submitted directly to the Division of Revenue and Enterprise Services.

CORPORATE RECORDS IN NEW JERSEY: A GUIDE

1. CONFIRMATION OF A COMPANY’S EXISTENCE (GOOD STANDING/STATUS)The key certified document is the Standing Certificate, which serves as the equivalent of a Certificate of Good Standing or Status. These certificates attest to the legal status of business entities, are certified under the seal of the State Treasurer, and serve as legal documents.

New Jersey offers three types of Standing Certificates:

  • Short-Form Standing: Verifies the entity's name, formation date, and active/good standing status.

  • Long-Form Standing (with Charter Documents): Includes the short-form data plus a Filing History (a chronological list of all records filed since formation).

  • Long-Form Standing (with Officers & Directors): Includes the short-form data plus the names and titles of officers, directors, or managers listed on the entity's most recent Annual Report.

 

2. CONSTITUTIONAL (FORMATION) DOCUMENTS. These are the public records that establish the entity’s legal existence. You can order copies of original business filings by selecting the Business Entity Documents option from the Business Records Service:

  • For Corporations: Certified Copy of the Certificate of Incorporation.

  • For LLCs: Certified Copy of the Certificate of Formation (or Articles of Organization).

 

These filings are certified by an official of the New Jersey Division of Revenue and Enterprise Services and are ready for the apostille process.

 

For Trade Names or Trade/Service Marks, the foundational public record is the Trade Name & Trade/Service Mark Status Report, which includes the Business ID, Type (e.g., TRADE NAME), Status, and the list of current Principals (Owners).

3. LIST OF SHAREHOLDERS AND OFFICERS:

  • New Jersey's documentation provides distinct avenues for certifying internal roles:

  • Directors/Officers/Managers: Unlike some states, New Jersey allows this information to be certified directly by the state via the Long-Form Standing Certificate (with Officers & Directors), which cites the names and titles reported on the most recent Annual Report. This state-certified document is generally preferred for apostille.

  • Shareholders/LLC Members: This ownership information is not a public record in New Jersey. If international confirmation is required, you must obtain a notarized affidavit or letter signed by a director, officer, or manager of the company verifying the current owners, which can then be apostilled.

Certified business records: we charge flat of $150 (for Short-Form Standing Certificate) or $200 (for Long-Form Standing Certificate) per certified document (certified copy of documents available for request and certification by the New Jersey Division of Revenue and Enterprise Services (DORES)). All documents are requested in an expedited mode (within 24 hours). 

Apostille: we charge Apostille flat fee of $200 per document for regular processing (up to 5 business days) or $300 for expedited processing (24 hours).
