How to Legalize Florida Documents for International Use
An apostillé issued by Florida Secretary of State certifies the authenticity of public documents so they can be recognized abroad in countries that are members of the 1961 Hague Apostille Convention.
Processing Time: Regular processing is up to 35 business days. Florida Secretary of State does NOT provide expedited processing.
Corporate Records (Certificate of Incorporation, Articles of Organization, Certificate of Status): must be certified by the he Florida Secretary of State. No additional County Clerk step is needed. Other corporate documents (minutes of meetings, bylaws, corporate resolutions, etc.) must be notarized prior to its apostillization.
Real Property Deed or Records: must be certified. For real property located in Florida records may be obtain in a county of Florida where the property is located.
Vital Records (Birth, Marriage, Death Certificates, Divorce Decrees): to obtain an apostillé of a Florida vital record, the document must bear the signature of the correct official to be accepted directly by the Florida Department of State (DOS):

Birth and Death Certificates: Submit a document issued by either the Florida Bureau of Vital Statistics or a County Health Department, provided it is signed by the State Registrar.

Marriage and Dissolution of Marriage Certificates: Submit a document from the Florida Bureau of Vital Statistics signed by the State Registrar or the Clerk of the County Courts.
The Florida DOS will then confirm the validity of the relevant official's signature (State Registrar or Clerk of Courts) for processing the Apostille. Note that any fees for obtaining the vital record from the Bureau or County Health Department are separate from the Apostille fees charged by the Florida Department of State.
Academic / Notarized Documents (Diplomas, Transcripts): for academic documents (diplomas, transcripts) to be eligible for Apostille by the Florida Department of State (DOS), they must be properly notarized:

Florida Public School or University: Submit the transcript after it has been notarized. The transcript must be signed by the School Registrar or an issuing official, and the notarization must include the full notarial statement.

Florida Private School or University: Submit a printed copy of the transcript that has been notarized. The document must be signed by the student or the custodian, and the notarization must explicitly attest that the transcript is a true copy. Again, the notarization must include the full notarial statement.
State of Florida process generally requires only the official's signature and a complete notarial statement before submission directly to the Florida Department of State.
Power of attorney, Affidavits. In order to obtain an apostillé the power of attorney has to be notarized by a notary public. Florida does not set forth requirements of additional county clerk authentication of notary signature. Please note, that simple attachment of notary stamp to a document does not result in proper notarization. The notary has to complete the notarial certification to make the document eligible for further authentications.
Marriage dissolution certificate has to be certified by the Florida Bureau of Vital Statistics, signed by the State Registrar or the Clerk of the County Courts.

1. CONFIRMATION OF A COMPANY’S EXISTENCE (GOOD STANDING/STATUS). The key document is the Certificate of Status (often called a Certificate of Good Standing). This is a single document issued by the Division of Corporations that confirms the entity exists, has an active legal status, is compliant with mandatory annual reports, and has not filed for dissolution.

Short-Form vs. Long-Form: the primary Florida Certificate of Status operates essentially as the Short-Form, confirming legal standing. It does not typically include a chronological list of all previously filed corporate documents (like amendments or mergers). If a foreign authority specifically requests a document detailing the complete filing history, the accompanying documentation is generally obtained separately via Certified Copies of the specific records on file.
2. CONSTITUTIONAL (FORMATION) DOCUMENTS. These are public records that establish the core legal structure of the entity. We retrieve certified copies of these filings, which are signed by a Department of State official and are ready for the apostille process.

Directors / Officers / Managers: the names, titles, and addresses of a corporation's Directors and Officers, or an LLC's Managers, are public record in Florida. This current information is officially available on the Certified Copy of the Latest Annual Report filed with the DOS.

Shareholders / LLC Members (Owners): this information is NOT public record in Florida. The state does not require a list of owners to be filed with the DOS. If confirmation of ownership is required internationally, we assist in obtaining a notarized director’s or officer’s affidavit verifying current shareholders or members, which is then apostilled.
