Nevada State Apostillé
Apostillé Process for Nevada Documents
How to Legalize Nevada Documents for International Use
An apostillé issued by the Nevada Secretary of State certifies the authenticity of public documents so they can be recognized abroad in countries that are members of the 1961 Hague Apostille Convention.
Crucial Note for Nevada: The County Clerk Step is Generally AVOIDED. Nevada's apostille process is typically a single-step authentication at the state level. Unlike New York, the Nevada Secretary of State is generally authorized to authenticate the signatures of all state officials, County Clerks, and Nevada Notaries Public directly. There is generally no mandatory intermediate County Clerk step for notary-signed or County Clerk-certified documents.
Processing Time: regular processing is 6-8 weeks.
Corporate Records: corporate records must be certified by the Nevada Secretary of State, Commercial Recordings Division before an apostille can be issued. No additional County Clerk step is needed for these state-certified documents.
-
Key Corporate Documents:
-
Certificate of Status (often called a Certificate of Good Standing).
-
Certificate of Incorporation (for Corporations).
-
Articles of Organization (for LLCs).
-
-
Procedure: Obtain a certified copy of the record (bearing the original signature or seal of the Nevada Secretary of State or a Deputy) directly from the Commercial Recordings Division. This certified copy is then submitted for the Apostille.
-
Private Corporate Documents (minutes of meetings, bylaws, corporate resolutions, officer affidavits, etc.): These must be properly notarized by a Nevada Notary Public. They are then submitted directly to the Nevada Secretary of State for the Apostille (bypassing the County Clerk).
Real Property Deed or Records:
-
Requirement: must be a certified copy issued by the County Recorder or County Clerk in the county where the property is located.
-
Apostille: the document is submitted directly to the Nevada Secretary of State for authentication of the County official's signature.
Vital Records: must be certified copies issued by the appropriate state or county official.
-
Birth, Death, and Marriage Certificates: These must be recent certified copies issued by the Nevada State Health Division (State Registrar) or a County Clerk/Recorder and must bear the official's handwritten signature and seal.
-
These certified copies are submitted directly to the Nevada Secretary of State for authentication. They do not need a separate notarization or County Clerk certification step.
Court Documents (Divorce Judgments, Probate, etc.)
-
Requirement: the document must be a certified copy and attested to by the Court Clerk of the District Court in the county where the judgment was issued.
-
Apostille: the certified copy is submitted directly to the Nevada Secretary of State for authentication of the Court Clerk's signature.
Academic / Notarized Documents (Power of attorney, Affidavits): any private document, including powers of attorney and affidavits, must be properly prepared and notarized before being submitted for an Apostille.
-
Notarization Requirement: the document must be notarized by a Nevada Notary Public. The notary must complete a proper notarial certificate (Jurat or Certificate of Acknowledgment). Simply stamping the document is not sufficient.
-
Apostille: the document is submitted directly to the Nevada Secretary of State for the Apostille. The state authenticates the signature and commission of the Nevada Notary Public. No County Clerk certification is required.

CORPORATE RECORDS IN NEVADA: A GUIDE
1. CONFIRMATION OF A COMPANY’S EXISTENCE (GOOD STANDING/STATUS).
The key document is the Certificate of Existence (often called a Certificate of Good Standing). This document is issued by the Commercial Recordings Division and confirms the entity exists and is in good standing.
Nevada Certificate Types: Short-Form vs. Long-Form: The Nevada Secretary of State offers distinct certificate forms based on the detail required by the foreign receiving party:
-
Certificate of Existence (Short Form): This form serves as evidence of good standing and confirms the entity's current legal status as "duly organized or formed and existing" and in "good standing in this state" since its formation date. It does not list any organizational documents or amendments.
-
Certificate of Existence (Long Form - Including Amendments): This form serves as evidence of good standingand certifies that it is accompanied by a list of all organizational documents (including amendments) on file in the office for the entity. This is typically requested when a foreign authority requires a comprehensive history of the entity's corporate actions.
-
Certificate of Existence (Long Form - No Amendments): This form serves as evidence of good standing and specifically certifies that the entity has no amendments on file in the office as of the certificate date.
2. CONSTITUTIONAL (FORMATION) DOCUMENTS. These are public records available through the Nevada Secretary of State:
-
For Corporations: Articles of Incorporation
-
For LLCs: Articles of Organization
We retrieve certified copies of these original filings, which bear the signature or official certification of a state official and are ready for the apostillé process.
3. LIST OF SHAREHOLDERS AND OFFICERS:
-
Shareholders/LLC Members (Owners): this information is not public record in Nevada. If confirmation is required internationally, we assist in obtaining a properly notarized director's or officer's affidavit verifying current shareholders or members. This notarized document is then submitted directly to the Nevada Secretary of State for the Apostille.
-
Directors/Officers (Management): the names and addresses of current officers/directors/managers are filed with the Nevada Secretary of State via the Annual/Initial List of Officers, Directors, and Registered Agent. A certified copy of this filing is the standard state-issued document used to confirm management for international transactions.
